Terms and Conditions

These Terms of Service (“Terms”) govern your access to and use of the Biohippo website, including ebiohippo.com, shop.biohippo.com, and any related websites, applications, content, features, communications, and services operated by Biohippo Inc. (“Biohippo,” “we,” “us,” or “our”).

By accessing or using the Site, creating an account, requesting a quote, submitting an order, or otherwise using any Biohippo service, you agree to be bound by these Terms. If you do not agree, you should not use the Site.

If you are using the Site on behalf of an institution, company, laboratory, or other organization, you represent that you have the authority to bind that organization to these Terms, and “you” includes that organization where applicable.

Biohippo is a life science marketplace and digital sourcing platform that helps researchers, laboratories, procurement teams, and scientific organizations discover products and services, request quotes, place orders, and connect with suppliers.

Certain products or services available through the Site may be sold, fulfilled, or supported by third-party suppliers, manufacturers, distributors, or service providers. Additional supplier-specific, product-specific, or service-specific terms may apply in those cases.

You must be at least 18 years old to use the Site. If you create an account or use the Site on behalf of an organization, you represent that you are authorized to do so.

Biohippo’s Site is intended for professional, business, research, institutional, and procurement-related use. It is not intended for personal consumer use unrelated to scientific, laboratory, or organizational purchasing.

If you create an account, you are responsible for maintaining the confidentiality of your username and password and for all activities conducted through your account. You agree to provide accurate and current account information and to update it as necessary.

Biohippo may suspend or terminate accounts, refuse service, or cancel orders where we believe an account is being used improperly, fraudulently, unlawfully, or in violation of these Terms.

Quotes, product listings, availability information, lead times, and pricing displayed on the Site are provided for convenience and may change without notice unless expressly confirmed in writing.

Submission of an order or quote request does not guarantee acceptance. Biohippo reserves the right to reject or cancel any order, in whole or in part, including where there are pricing errors, availability issues, supplier limitations, export or regulatory restrictions, suspected fraud, or other operational concerns.

Biohippo may act as a marketplace, seller, sourcing intermediary, or coordination layer depending on the transaction. For some orders, products may ship directly from the manufacturer or supplier.

Biohippo works to present product information accurately, including specifications, technical data, documentation, and supplier details. However, some information is provided by third-party suppliers, manufacturers, or partners, and Biohippo does not guarantee that all content is complete, current, or error-free at all times.

Scientific products often require case-specific evaluation before purchase or use. You are responsible for determining whether a product or service is appropriate for your intended application, institution, workflow, or regulatory environment.

Biohippo is not responsible for research outcomes, experimental suitability, or misuse of products after delivery.

Unless otherwise agreed in writing:

• payment for online orders is due at the time of purchase 
• payment for approved offline purchase orders is due within thirty (30) days from invoice date 
• international orders may require advance payment 
• overdue balances may accrue a late charge of 1% per month, or the maximum amount permitted by law, whichever is less 

You are responsible for all applicable taxes, duties, fees, and other governmental charges unless otherwise stated in writing.

Products may ship from Biohippo, a supplier, a manufacturer, or another fulfillment partner. Estimated transit times are provided for convenience only and are not guaranteed unless expressly confirmed in writing.

Unless otherwise agreed in writing, risk of loss and title transfer to the purchaser when the product is delivered to the carrier. Freight, shipping, duties, taxes, customs charges, and related import fees are the responsibility of the customer unless otherwise specified.

Orders may be cancelled within 24 hours of order confirmation unless the order is already being processed, fulfilled, or is designated as non-cancellable.

After 24 hours, cancellations and returns are subject to Biohippo’s approval and may be subject to:

• restocking fees 
• outbound and return shipping charges 
• customs or handling charges 
• inspection of returned goods 
• special handling requirements for temperature-sensitive or regulated items 

Returned products must be in original or appropriate packaging and, where applicable, must be shipped under proper temperature or handling conditions.

Certain products may be non-returnable, including but not limited to:

• custom or special-order products 
• products shipped on ice, dry ice, refrigerated, or frozen 
• sterile products 
• diagnostic reagents 
• kits, enzymes, antibodies, media, or similar sensitive scientific products 
• products that cannot be resold as new 

If Biohippo or the supplier ships the wrong product, contact us promptly and we will work with you to resolve the issue.

The Site may include products, services, documents, content, or links provided by third parties. Biohippo may also share relevant information with suppliers, manufacturers, logistics providers, payment processors, or service partners when needed to fulfill an order, respond to a request, or operate the Site.

Biohippo is not responsible for the content, policies, or practices of third-party websites or services linked from the Site.

You may use the Site only for lawful purposes and in accordance with these Terms. You may not:

• use the Site in any unlawful, fraudulent, abusive, or misleading way 
• interfere with the Site’s operation, security, or availability 
• scrape, harvest, copy, or extract data from the Site without authorization 
• upload or transmit viruses, malicious code, or harmful materials 
• reverse engineer, reproduce, redistribute, or exploit Site content except as expressly permitted 
• misuse technical documents, pricing, supplier content, or account access 

All content on the Site, including text, graphics, branding, logos, images, software, compilations, and design elements, is owned by Biohippo, its licensors, or its suppliers and is protected by intellectual property laws.

Except for the limited right to use the Site in accordance with these Terms, no rights are granted to you in Biohippo’s intellectual property.

If you submit feedback, inquiries, requests, reviews, suggestions, or other content to Biohippo, you grant Biohippo a non-exclusive right to use that content for operating, improving, and supporting its services, subject to applicable law and Biohippo’s Privacy Policy.

You agree not to submit unlawful, infringing, abusive, defamatory, misleading, or harmful material through the Site, forms, chat tools, or other communication features.

When you visit the Site, send emails to Biohippo, submit forms, or otherwise communicate with us electronically, you consent to receive communications from us electronically, including notices, confirmations, disclosures, and other service-related communications.

The Site and its content are provided on an “as is” and “as available” basis to the fullest extent permitted by law. Biohippo does not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components.

Warranty obligations for products purchased through the Site, where applicable, are generally the responsibility of the manufacturer or supplier unless Biohippo expressly states otherwise.

To the fullest extent permitted by law, Biohippo and its officers, directors, employees, affiliates, suppliers, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity arising out of or related to the Site, products, services, or these Terms.

Where liability cannot legally be excluded, Biohippo’s liability will be limited to the amount paid by you to Biohippo for the specific order or service giving rise to the claim during the preceding twelve months.

You agree to defend, indemnify, and hold harmless Biohippo and its affiliates, officers, directors, employees, agents, suppliers, and service providers from claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

• your use of the Site 
• your breach of these Terms 
• your violation of applicable law 
• your infringement of any third-party rights 

Biohippo may suspend or terminate your access to the Site, cancel an order, or restrict use of certain features at any time if we reasonably believe you have violated these Terms, created risk for Biohippo or other users, or used the Site in an unlawful or improper manner.

These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms, the Site, or Biohippo’s services that cannot be resolved informally will be resolved by binding arbitration, except where applicable law prohibits arbitration or where a party seeks relief in small claims court or temporary injunctive relief.

Arbitration will be conducted on an individual basis only. Class, collective, and representative actions are not permitted.

Biohippo may update these Terms from time to time. The updated version will be posted on this page with a revised effective date. Your continued use of the Site after updated Terms are posted constitutes acceptance of the revised Terms, to the extent permitted by law.
